TERMS

Property Preview: You may walk the property at any time - AT YOUR OWN RISK.

Buyer?s Premium: Buyer?s will pay a Buyer?s Premium equal to six-and-one-half percent (6½%) of the high bid price. This amount will be added to the high bid price and inserted into the Agreement of Sale to determine the total purchase price.

Escrow Agent: All deposits will be held by LandAmerica Financial Group, Inc. (parent company of Commonwealth Land Title) as escrow agent.

Settlement: On or before sixty (60) days following each Auction.

Total Deposit due on Auction Day: 15%

Guaranteed Deposit: A good faith registration deposit of $35,000 in the form of a bank cashier?s check (made payable to ?LandAmerica?) is required to register to bid at the time of the Auction. Personal checks will only be accepted when accompanied by an original bank letter of irrevocable guaranteed payment. Letter must read as follows: ?Mr./Ms. (your name) is a customer of our bank and we agree to irrevocably guarantee payment of his/her check drawn to LandAmerica up to the amount of $35,000 for purchase at your auction sale on November 19, 2002.? Bring your registration deposit to the Auction or follow online deposit below. This guaranteed good faith registration deposit will be credited towards the 15% total deposit, with the balance of the 15% by personal check. Seller reserves the right to accept other forms of payment.

Online Guaranteed Deposit: You may also use CertifiedBidder for your guaranteed deposit. Signing of the Agreement of Sale by High Bidder: High bidders are required to execute the Agreement of Sale during or at the conclusion of the Auction on Auction day.

Due Diligence: Buyers are responsible to conduct their own due diligence research on the properties and are not to rely on any information provided by the seller, Traiman, or their representatives. Auction Inventory: Seller, at its sole discretion, reserves the right to add or remove properties from the Auction.

Approval by Seller: Seller reserves the right to accept or reject the high bids acquired at the Auction. Seller has up to 14 days following the Auction to accept or reject the high bids. Higher bids will not be accepted during this 14-day period, with the exception that if the high bidder at the Auction wishes to increase his/her bid.

Sale Order: The Auctioneer reserves the right to determine the order in which the properties are sold when there are more than one property being sold at a central location.
